1. Operating Entity

The ApplyScope platform (the "Service") is operated by {{OPERATING_ENTITY_NAME}}, a legal entity established under the laws of {{OPERATING_ENTITY_JURISDICTION}}, registered under tax identification {{TAX_ID}}, with its registered address at {{REGISTERED_ADDRESS}} ("we," "us," or "our"). Legal notices must be sent to {{LEGAL_NOTICE_EMAIL}} or by post to the registered address above.

2. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Service, including our website, APIs, and related services. By creating an account or otherwise using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into a binding agreement, and you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

3. Account Responsibilities

  • You must provide accurate, current, and complete information when creating your account and keep it up to date.
  • You are responsible for maintaining the confidentiality of your password and any API keys and for all activity that occurs under your account.
  • Accounts are personal and may not be shared. Each user must have a separate account.
  • Notify us immediately at {{LEGAL_NOTICE_EMAIL}} if you suspect any unauthorized use of your account.

4. Subscription, Pricing, and Billing

  • Paid plans are offered on a subscription basis. Current plans, features, and prices are displayed at /pricing. Annual billing is offered at a discount versus the equivalent monthly plan; see /pricing for current rates.
  • Subscription fees are payable in advance for the billing period you select (monthly or annual). All fees are stated in the currency displayed at checkout and are exclusive of applicable taxes unless otherwise stated.
  • Payment processing is handled by Stripe. By subscribing, you also agree to Stripe's terms of service and authorize us to charge your selected payment method on each renewal until you cancel.
  • We may change pricing with at least 30 days' notice. Price changes will not apply to your current prepaid billing period.

5. Cancellation and Refunds

  • You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you will retain paid access until that date.
  • Except where required by applicable law, fees are non-refundable. As a goodwill policy, we may refund an initial subscription charge if you request a refund within 48 hours of purchase and have not materially used paid features.
  • Statutory withdrawal, cooling-off, or consumer rights under your local law are not affected by the refund policy above.

6. Acceptable Use

You agree not to, and not to permit others to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Scrape, crawl, or otherwise programmatically extract data from the Service beyond normal API usage within your plan limits and documented endpoints.
  • Resell, sublicense, white-label, or otherwise redistribute access to the Service without our prior written authorization.
  • Use Service outputs (including job evaluations, cover letters, and screening answers) to train, fine-tune, or evaluate any machine learning model without our prior written license.
  • Create accounts by automated means, impersonate others, or operate multiple accounts to circumvent plan limits.
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service, except to the extent this restriction is prohibited by applicable law.
  • Interfere with, disrupt, or probe the integrity, performance, or security of the Service.
  • Submit false, misleading, or fraudulent information through the Service.

7. User Content and License

You retain ownership of the content you submit to the Service, including your profile data, resumes, notes, and pipeline records ("User Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, and process your User Content solely to the extent necessary to operate, secure, and improve the Service for you and as described in our Privacy Policy. This license terminates when you delete the relevant User Content or your account, subject to our backup retention window.

You represent that you have all rights necessary to submit the User Content and that it does not infringe any third-party rights or violate any applicable law.

8. Intellectual Property

The Service, including its software, design, user interface, logos, trademarks, documentation, and source code, is owned by us or our licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal job search.

AI-generated content (evaluations, cover letters, screening answers) is provided for your personal use in connection with your job search. You may use such content freely in your own job applications.

9. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including (to the maximum extent permitted by law) warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability.

ApplyScope is a decision-support tool. We do not guarantee any particular employment outcome, interview, offer, salary, or response from any employer. AI-generated content may contain errors; you are responsible for reviewing and editing any output before relying on it.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will we be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, employment opportunities, or goodwill, arising out of or related to your use of, or inability to use, the Service, whether based in contract, tort (including negligence), strict liability, or any other legal theory, even if advised of the possibility of such damages.

Our total aggregate liability for any claims arising out of or related to the Service and these Terms is limited to the greater of (a) the total fees you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars (USD 100).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by applicable law, including liability for gross negligence, willful misconduct, or violation of mandatory consumer protection rights.

11. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless {{OPERATING_ENTITY_NAME}}, its affiliates, officers, employees, and contractors from any third-party claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising out of or related to: (a) your User Content, (b) your use of the Service in violation of these Terms or applicable law, or (c) your infringement of any third-party rights.

12. Governing Law

These Terms and any dispute arising from them or from your use of the Service are governed by the laws of {{GOVERNING_LAW_JURISDICTION}}, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

13. Dispute Resolution

The parties will first attempt to resolve any dispute informally by contacting {{LEGAL_NOTICE_EMAIL}}. If the dispute is not resolved within 30 days, it will be submitted to the exclusive jurisdiction of the competent courts of {{COURT_JURISDICTION}}, except where mandatory consumer protection law grants you the right to bring an action in the courts of your place of residence.

14. Changes to These Terms

We may update these Terms from time to time. For material changes, we will notify you by email and in-product at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and may cancel your subscription.

15. Termination

You may terminate your account at any time by canceling your subscription and requesting deletion from your account settings. We may suspend or terminate your access immediately if you materially breach these Terms, fail to pay applicable fees, or if we are required to do so by law; we may also discontinue the Service with reasonable prior notice.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including sections 7-13) will continue to apply. Data deletion follows the schedule in our Privacy Policy.
